لا يجوز للتاجر ولا روبن فود، سواء بشكل إيجابي أو سلبي، مباشر أو غير مباشر، عرض أو الوعد بعرض أو طلب أو قبول أي خصومات أو أموال أو أشياء ثمينة أو مزايا أخرى إلى أو من أعضاء مجلس الإدارة أو المديرين أو الموظفين أو وكلاء الطرف الآخر أو الأشخاص الذين لديهم تأثير رئيسي على الطرف الآخر (بما في ذلك الأقارب المقربون لهؤلاء الأشخاص)، أو القيام بأي عمل ينتهك قوانين مكافحة الرشوة ومكافحة الفساد ذات الصلة.
Neither Merchant nor RobinFood may, proactively or passively, directly or indirectly, offer, promise to offer, demand or accept any rebates, money, valuables or other benefits to or from the directors, managers, employees, agents of the other Party or persons having key influence on the other Party (including close relatives of such persons), or conduct any act in violation of relevant anti-bribery and anti-corruption laws.

لا يجوز للتاجر بمفرده، أو بمساعدة أو تمكين طرف ثالث، استخدام المنصة للقيام بأي أنشطة تشغيلية غير قانونية تنطوي على غسل الأموال (بما في ذلك ـ على سبيل المثال لا الحصر ـ المقامرة أو تنظيم المقامرة، الاحتيال، جمع الأموال غير القانوني، وما إلى ذلك).
Merchant shall not by itself, nor assist or allow a third party to use the Platform to, conduct any illegal operating activities involving money laundering (including but not limited to cash-out, gambling or organization of gambling, fraud, illegal fundraising, etc.).

يلتزم التاجر، ويُلزِم موظفيه، باتباع سياسات مكافحة الرشوة والفساد وسياسات مكافحة غسل الأموال التي تقدمها روبن فود للتاجر من وقت إلى آخر، بما في ذلك ـ على سبيل المثال لا الحصر، «قانون مكافحة الرشوة في المملكة العربية السعودية».
Merchant undertakes to, and shall cause its personnel to, abide by the anti-bribery and anti-corruption policies and anti-money-laundering policies provided from time to time by RobinFood to Merchant, including, but not limited to, the Saudi Arabian Combatting Bribery Law.

إذا اشتبهت روبن فود، بشكل مستقل ومعقول، في أنّ التاجر قد ارتكب فعلًا ينتهك المواد من 1.1 إلى 1.3 أعلاه، أو لغرض التعاون مع التحقيقات التي تُجريها الجهات الحكومية والتنظيمية أو المؤسسات ذات الصلة، فعلى التاجر أن يُقدِّم فورًا جميع البيانات والمعلومات ذات الصلة بناءً على طلب روبن فود. وإذا تبيَّن لـ روبن فود أن التاجر قد انتهك المواد من 1.1 إلى 1.3، يحق لـ روبن فود اتخاذ تدابير الاستجابة وفقًا لقواعد المنصة، وتعليق أي خدمات بموجب اتفاقية التاجر، و/أو إنهاء اتفاقية التاجر فورًا دون أي مسؤولية تجاه التاجر.
If RobinFood, in its sole discretion, reasonably suspects that Merchant has acted in breach of Articles 1.1 to 1.3 above, or for the purpose of cooperating with investigations conducted by governmental and regulatory authorities or relevant institutions, Merchant shall promptly provide all relevant data and information at the request of RobinFood. If RobinFood discovers that Merchant has acted in breach of Articles 1.1 to 1.3, RobinFood has the right to take response measures pursuant to Platform Rules, suspend any services under the Merchant Agreement, and/or immediately terminate the Merchant Agreement without any liability to Merchant.

Merchant shall immediately notify RobinFood in writing once it becomes aware of or suspects any affairs that are in violation of this Article 1.

Protection against False Orders

2.1
يتعهد التاجر بالعمل بحسن نية على المنصة، وألا يجري أي أعمال احتيالية أو غير مخلصة أخرى، بما في ذلك ـ على سبيل المثال لا الحصر ـ بمفرده أو بالتواطؤ مع طرف ثالث، تزوير أو إخفاء المعاملات على المنصة، إعداد حملات ترويجية زائفة، تزوير تعليقات العملاء، تحريض العملاء أو تهديدهم لتغيير وضع المعاملة أو تحويلها، تحريض العملاء أو تهديدهم لتعديل تقييماتهم الحقيقية، أو إساءة استخدام ضمان الخدمة على المنصة، وما إلى ذلك.
Merchant undertakes to operate in good faith on the Platform, and not to conduct any other fraudulent or bad-faith acts, including but not limited to, by itself or in collusion with a third party, falsifying or concealing transactions on the Platform, setting false promotional campaigns, falsifying Customer Feedback, inducing or threatening customers to change the transaction mode or shift transactions, inducing or threatening customers to change their true reviews, or misusing the service warranty on the Platform.

إذا اكتشفت روبن فود أن التاجر ارتكب فعلًا ينتهك المادة 2.1، يحق لها اتخاذ تدابير الاستجابة وفقًا لقواعد المنصة، وتعليق أي خدمات بموجب اتفاقية التاجر، و/أو إنهاء اتفاقية التاجر فورًا دون أي مسؤولية تجاه التاجر.
If RobinFood discovers that Merchant has acted in breach of Article 2.1, RobinFood has the right to take response measures pursuant to Platform Rules, suspend any services under the Merchant Agreement, and/or immediately terminate the Merchant Agreement without any liability to Merchant.

في حال عجز عميل معين أو طلبه عن اجتياز إجراءات التحقق من العميل أو التحكم في المخاطر لدى روبن فود، أو إذا رأت روبن فود أن هذا العميل متورط في تزوير الطلبات أو إساءة استخدام ضمان الخدمة على المنصة، أو يحاول القيام بأعمال احتيالية أو غير مخلصة أخرى على المنصة، يحق لـ روبن فود منع هذا العميل من تسجيل الدخول إلى المنصة، أو تقييد معاملاته، أو إلغاء طلباته، أو حظر تقييماته، أو اتخاذ تدابير استجابة أخرى وفقًا لقواعد المنصة، وذلك دون الحاجة إلى موافقة التاجر.
If a customer or his/her order fails to pass RobinFood’s customer-verification or risk-control procedures, or RobinFood considers that such customer is involved in order falsification or misuse of the service warranty on the Platform, or attempts to conduct other fraudulent or bad-faith acts on the Platform, RobinFood has the right to block such customer from logging in to the Platform, restrict such customer’s transactions on the Platform, cancel the customer’s orders, block such customer’s reviews, or take other response measures in accordance with Platform Rules. RobinFood may take such measures without the consent of Merchant.

3.1
يقصد بتعبير «الملكية الفكرية» أي وجميع حقوق الملكية الفكرية، سواء كانت معروفة حاليًا أو ستُخترع في المستقبل (أيًّا كانت طبيعتها وكيفما أُنشئت)، بما في ذلك ـ على سبيل المثال لا الحصر ـ الحقوق في العناصر الآتية أو الناشئة عنها أو المتصلة بها (في كل حالة بغض النظر عمّا إذا كانت قد سُجلت أو قُدم طلب لتسجيلها):
  1. براءات الاختراع؛
  2. المعرفة الصناعية، والأسرار التجارية، والمفاهيم، والأفكار، والاكتشافات، والاختراعات، والأجهزة، والطرق، والعمليات (بصرف النظر عن منح براءة اختراع من عدمه)؛
  3. العلامات التجارية، وعلامات الخدمة، والأسماء التجارية، والرموز التجارية؛
  4. أي حقوق في التصاميم؛
  5. حقوق التأليف والنشر، والبرمجيات، والشيفرة المصدرية، والشيفرة الهدفية، وأسماء النطاق، والمواصفات، وغيرها من الأعمال الأصلية، وقواعد البيانات والحقوق المتعلقة بها؛
  6. أي حقوق ملكية فكرية أخرى وأي حقوق مماثلة أو قابلة للمقارنة في أي مكان في العالم.
“Intellectual Property” means any and all intellectual-property rights, whether currently known or to be invented in the future (of whatever nature and created in whatever manner), including but not limited to all the rights to or in the following or arising from or in connection with the following (in each case, regardless of whether such rights have been registered or applied for registration):
  1. patents;
  2. industrial knowledge, trade secrets, concepts, ideas, inventions, discoveries, apparatus, methods and processes (in each case, regardless of whether a patent has been granted);
  3. trademarks, service marks, commercial names and trade names;
  4. any rights in designs;
  5. copyrights, software, source code, object code, domain names, specifications and other original works, databases and rights thereof; and
  6. any and all other intellectual-property rights and any similar or comparable rights anywhere in the world.

لا يخول أي نص في اتفاقية التاجر أي طرف نقل ملكية أو استخدام الملكية الفكرية للطرف الآخر، ولا يجوز لأي طرف تسجيل حقوق الملكية الفكرية للطرف الآخر في أي مكان في العالم.
Nothing in the Merchant Agreement shall entitle a Party to, or cause the transfer of title in, or allow such Party to use, the Intellectual Property of the other Party. A Party shall not register the Intellectual Property of the other Party globally.

خلال مدة الاتفاقية، تمنح روبن فود للتاجر ترخيصًا غير حصري، خاليًا من حقوق الملكية، غير قابل للإلغاء، غير قابل للتحويل، وغير قابل للترخيص من الباطن لاستخدام علامات روبن فود واسمها وعنوان موقعها وأيقونة التطبيق («العلامة التجارية لـ روبن فود») داخل الإقليم لغرض الإعلان عن انضمام التاجر إلى المنصة وتقديم الخدمات من قبل روبن فود للتاجر. ويحق لـ روبن فود تزويد التاجر بقوالب قياسية وإرشادات استخدام للعلامة التجارية. ولا يجوز للتاجر الإعلان عن علاقته التعاونية مع روبن فود باستخدام علامات أو صور أو رسومات أخرى، ولا استخدام العلامة التجارية لـ روبن فود بطريقة تخالف إرشادات استخدام العلامة.
During the Term, RobinFood grants to Merchant a non-exclusive, royalty-free, irrevocable, non-transferable and non-sublicensable license to use RobinFood’s marks, name, web address and app icon (“RobinFood Brand”) in the Territory for advertising the onboarding of Merchant on the Platform and the provision of services by RobinFood to Merchant. RobinFood has the right to provide Merchant with standard templates and use guidelines for RobinFood Brand. Merchant shall not advertise its cooperative relationship with RobinFood by using other marks, images or pictures, nor use RobinFood Brand in a manner in violation of the brand-use guidelines.

خلال مدة الاتفاقية، يمنح التاجر روبن فود وشركاتها التابعة ترخيصًا غير حصري وخاليًا من حقوق الملكية لاستخدام علامات التاجر واسمه وعنوان موقعه («العلامة التجارية للتاجر») في جميع أنحاء العالم بهدف تقديم الخدمات للتاجر، بما في ذلك ـ على سبيل المثال لا الحصر ـ عرض العلامة التجارية للتاجر على المنصة، وتطبيق ناقل روبن فود، ونظم الدفع ذات الصلة. وعلى التاجر، بناءً على طلب روبن فود المعقول من وقت إلى آخر، تزويد روبن فود بالصورة والوصف الدقيقين للعلامة التجارية للتاجر حتى تتمكن روبن فود من عرضها بدقة في المواد التسويقية.
During the Term, Merchant grants to RobinFood and its Affiliates a non-exclusive and royalty-free license to use Merchant’s marks, name and web address (“Merchant Brand”) throughout the world for the purposes of providing services to Merchant, including but not limited to showing Merchant Brand on the Platform, RobinFood’s carrier App, and relevant payment systems. Merchant shall, at RobinFood’s reasonable request from time to time, provide RobinFood with the exact image and description of Merchant Brand so that RobinFood may show Merchant Brand precisely on marketing materials.

يقر ويضمن ويتعهد التاجر بأنه يمتلك حقوق ملكية فكرية قانونية وسارية في العلامة التجارية للتاجر، وأنها لا تنتهك ولن تنتهك حقوق الملكية الفكرية لأي طرف ثالث؛ وأن للتاجر الحق في منح الترخيص المتعلق بالعلامة التجارية للتاجر؛ وأن أي فعل قد تقوم به روبن فود أو شركاتها التابعة فيما يتعلق بالعلامة التجارية للتاجر بموجب اتفاقية التاجر لن ينتهك حقوق الملكية الفكرية لأي طرف ثالث؛ وأن التاجر لن يبرم أي اتفاقية قد تحد من حقوق روبن فود أو شركاتها التابعة. ولا تتحمل روبن فود أو شركاتها التابعة أي خسائر نتيجة استخدام الملكية الفكرية المرخصة من قبل التاجر. ويلتزم التاجر بتعويض روبن فود وشركاتها التابعة تعويضًا كاملًا عن أي مطالبات أو خسائر أو التزامات من طرف ثالث يتكبدونها أو يتحملونها بسبب انتهاك التاجر حقوق ملكية فكرية لطرف ثالث، أو انتهاك العلامة التجارية للتاجر حقوق طرف ثالث، أو لأي سبب آخر يتعلق بالعلامة التجارية للتاجر.
Merchant represents, warrants and undertakes that it holds lawful and valid intellectual-property rights in the Merchant Brand, which does not and will not infringe the Intellectual Property of any third party; Merchant has the right to grant the license regarding Merchant Brand; no act that may be conducted by RobinFood and its Affiliates in connection with Merchant Brand pursuant to the Merchant Agreement will infringe the Intellectual Property of any third party; and Merchant will not execute any agreement that may limit the rights of RobinFood and its Affiliates. In no event shall RobinFood and its Affiliates suffer any Losses for using the Intellectual Property licensed by Merchant. Merchant shall fully indemnify RobinFood and its Affiliates for any third-party claims, Losses or liabilities suffered or borne by RobinFood or its Affiliates because Merchant infringes third-party Intellectual Property, the Merchant Brand infringes third-party rights, or for any other reason in connection with the Merchant Brand.

4.1
«الملكية الفكرية لـ روبن فود» تعني جميع حقوق الملكية الفكرية التي تملكها أو تسيطر عليها روبن فود وشركاتها التابعة، بما في ذلك جميع الحقوق المتعلقة بالمنصة.
“RobinFood Intellectual Property” means all Intellectual Property owned or controlled by RobinFood and its Affiliates, including all Intellectual Property related to the Platform.

تظل المنصة، وتطبيق المعدات، ونظام البرمجيات ذي الصلة (ويُشار إليها مجتمعة بـ «البرمجيات») ملكًا لـ روبن فود في جميع الأوقات. وخلال مدة الاتفاقية، تمنح روبن فود للتاجر ترخيصًا غير حصري، خاليًا من حقوق الملكية، غير قابل للإلغاء، غير قابل للتحويل، وغير قابل للترخيص من الباطن لاستخدام هذه البرمجيات. ويفهم التاجر أن البرمجيات متاحة له على أساس «كما هي». ولا يجوز للتاجر (ولا يسمح لأي طرف ثالث) نسخ البرمجيات أو تعديلها أو إجراء هندسة عكسية لها أو فك تجميعها أو الإضرار بسلامتها أو حذف معلومات مثل وصف الملكية الفكرية لـ روبن فود. ولا يجوز للتاجر المطالبة بأي حق في البرمجيات أو الطعن في ملكيتها أو شرعيتها أو قابليتها للتنفيذ. ويوافق التاجر على أن روبن فود قد تصدر تحديثات أو إصدارات جديدة من البرمجيات من وقت إلى آخر وفقًا لتقديرها الخاص، ويلتزم التاجر بتطبيق هذه التحديثات أو الإصدارات فورًا. ويفهم التاجر ويقبل أن روبن فود قد، وفقًا لتقديرها الخاص، تعلِّق (لأسباب تقنية أو أمنية أو تحديث البرمجيات أو تحسين جودة الخدمة أو متطلبات القوانين واللوائح أو أسباب أخرى) أو تُنهي تشغيل البرمجيات أو أي جزء منها دون أي مسؤولية تجاه التاجر.
The Platform, Equipment application, and relevant software system (collectively, “Software”) shall remain the property of RobinFood at all times. During the Term, RobinFood grants to Merchant a non-exclusive, royalty-free, irrevocable, nontransferable and non-sublicensable license to use such Software. Merchant understands that the Software is made available to Merchant for use on an as-is basis. Merchant shall not (nor allow any third party to) copy, modify, reverse-engineer, or decompile the Software, damage its integrity, or delete information such as descriptions of RobinFood Intellectual Property. Merchant shall not claim rights in the Software, or challenge the ownership, legality or enforceability of the Software. Merchant agrees that RobinFood may release updates or new versions of the Software from time to time at its own discretion. Merchant shall promptly execute such updates or new versions. Merchant understands and accepts that RobinFood may, at its own discretion, suspend (for technical, safety, software-update or service-quality-improvement purposes, requirements of laws and regulations, or other reasons) or terminate the operation of the Software or any part thereof without any liability to Merchant.

يتعهد التاجر، عند جمع أو معالجة أو استخدام أي بيانات شخصية يتم الحصول عليها عبر روبن فود، بالامتثال لجميع القوانين واللوائح المعمول بها، فضلًا عن قواعد وسياسات الخصوصية ذات الصلة التي تقدمها روبن فود للتاجر من وقت إلى آخر. ويلتزم التاجر بما يلي:
  1. اتخاذ التدابير المناسبة لحماية هذه البيانات الشخصية من الوصول أو المعالجة أو الحذف أو الفقدان أو الاستخدام غير المصرح به أو العرضي؛
  2. استخدام هذه البيانات الشخصية فقط لتقديم السلع/الخدمات الجاهزة للعملاء؛
  3. التأكد من أن مدة تخزين هذه البيانات الشخصية لا تتجاوز الفترة اللازمة لتحقيق الغرض المذكور أعلاه ما لم تفرض القوانين أو اللوائح مدة احتفاظ إلزامية؛
  4. الحفاظ على دقة هذه البيانات الشخصية واكتمالها؛
  5. الوصول إلى هذه البيانات الشخصية وتخزينها فقط من خلال المنتج المعيَّن أو المقدم من روبن فود.
Merchant undertakes that, in the collection, processing and/or use of any personal data obtained through RobinFood, it shall comply with all applicable laws and regulations, as well as the relevant privacy rules and policies provided from time to time by RobinFood to Merchant. Merchant shall
  1. take appropriate measures to protect such personal data from unauthorised or accidental access, processing, deletion, loss or use;
  2. use such personal data only for providing takeaway goods/services to customers;
  3. ensure that the storage period of such personal data is no longer than the period required for achieving the purpose above unless there are mandatory retention requirements in laws and regulations;
  4. maintain the accuracy and completeness of such personal data; and
  5. access and store such personal data only through the product designated or provided by RobinFood.

يتعهد التاجر بأن جميع البيانات الشخصية التي يقدمها إلى روبن فود قد تم الحصول على التفويض اللازم بشأنها من أصحابها، وأن هؤلاء الأشخاص قد وافقوا على أن تجمع روبن فود بياناتهم الشخصية وتستخدمها وتفصح عنها وفقًا للغرض المصرح به.
Merchant undertakes that all personal data provided to RobinFood has been sufficiently authorised by relevant persons, and such relevant persons have agreed that RobinFood may collect, use and disclose their personal data based on the authorised purpose.

توفير البيانات والمعلومات:
  1. يلتزم التاجر بتقديم البيانات والمعلومات والمساعدة المطلوبة من قِبَل روبن فود في الوقت المناسب، ويضمن أن جميع البيانات والمعلومات التي يقدّمها (سواء عبر المنصة وبوابة التاجر أو دون اتصال بالإنترنت أو بأي وسيلة أخرى) صحيحة، قانونية، دقيقة، كاملة وغير مُضلِّلة.
  2. يضمن التاجر أن جميع البيانات والمعلومات ـ بما في ذلك النصوص والصور والبيانات وما إلى ذلك ـ الخاصة به وبسلَعه التي يحمّلها أو يؤكّدها أو ينشرها أو يحرّرها عبر المنصة وبوابة التاجر، صحيحة، قانونية، دقيقة، كاملة، غير مُضلِّلة، ولا تنتهك أي حقوق أو مصالح مشروعة لأي شخص (بما في ذلك روبن فود أو العملاء أو أي طرف ثالث). وفي حال نشوء نزاع، يلتزم التاجر بتقديم الأدلة التي تثبت صحة هذه البيانات والمعلومات وسلامتها القانونية. ويُصرِّح التاجر لـ روبن فود باستخدام هذه البيانات والمعلومات على المنصة أو بوسائل أخرى لأغراض تنفيذ اتفاقية التاجر. ولا تتحمّل روبن فود أو شركاتها التابعة أي مسؤولية عن هذه البيانات والمعلومات، كما لا تتحمّل أي خسارة ناجمة عن استخدامها، ويلتزم التاجر بتعويض روبن فود وشركاتها التابعة تعويضًا كاملًا عن أي غرامات حكومية أو مطالبات أو خسائر أو التزامات من طرف ثالث تنشأ بسبب هذه البيانات والمعلومات أو ترتبط بها.
  3. يجوز لـ روبن فود، للأغراض المتعلقة بتنفيذ اتفاقية التاجر وتحسين خدمات روبن فود وتطبيق سياسات التحكم بالمخاطر أو الأمان والامتثال للقوانين واللوائح وقواعد الصناعة، تزويد شركاتها التابعة أو البنوك أو مؤسسات الدفع التابعة لأطراف ثالثة أو مقدّمي الخدمات أو الشركاء الآخرين أو الجهات الحكومية والتنظيمية برقم هاتف التاجر وموقعه ومعلومات أخرى، بالقدر الضروري وبشكل معقول.
Provision of Data and Information:
  1. Merchant shall promptly provide any data, information and assistance required by RobinFood, and warrants that all data and information it provides (including those supplied via the Platform, Merchant Portal, offline or by any other means) are true, lawful, accurate, complete and not misleading.
  2. Merchant warrants that all data and information (including but not limited to text, images, data, etc.) about Merchant and its goods that it uploads, confirms, publishes and edits via the Platform and Merchant Portal are true, lawful, accurate, complete, not misleading, and do not infringe any legitimate rights and interests of any person (including RobinFood, customers or any third party). In the event of a dispute, Merchant is obligated to provide evidence proving that such data and information meet the foregoing standards. Merchant authorises RobinFood, for the purpose of performing the Merchant Agreement, to use such data and information on the Platform or by other means. RobinFood shall not be held liable for any such data and information, nor shall RobinFood or its Affiliates suffer any loss from using them. Merchant shall fully indemnify RobinFood and its Affiliates for any governmental fines and/or third-party claims, losses or liabilities suffered or borne by RobinFood or its Affiliates because such data and information infringe the rights of a third party, or for any other related reason.
  3. For the avoidance of doubt, RobinFood may provide Merchant’s telephone number, location and other information to RobinFood’s Affiliates, banks or third-party payment institutions, service providers, other partners, governmental and regulatory authorities, etc., for the purposes of performing the Merchant Agreement, improving RobinFood’s services, implementing risk-control or security policies and complying with laws, regulations and industry rules. RobinFood will disclose such information only to the extent reasonably necessary.

Training:
  1. Merchant shall ensure that its personnel (including employees and other persons at the Shop) receive appropriate training or instruction from RobinFood so they can use the Platform and Equipment proficiently.

    تشمل معلومات المتجر ومعلومات القائمة: التي يجب على التاجر تقديمها: ساعات العمل، أسماء الأطباق، الأسعار، معلومات مسبِّبات الحساسية، أوصاف الوجبات، المكوّنات الرئيسية، السعرات الحرارية، حجم الحصة، الحد الأدنى لقيمة الطلب، العروض الترويجية، الخصومات، ساعات التوفر، الضرائب المطبَّقة، وأي معلومات أخرى مُبيَّنة في بوابة التاجر. إذا رغب التاجر في تغيير معلومات المتجر أو معلومات القائمة، فعليه إبلاغ روبن فود كتابيًا بهذه التغييرات قبل يومَي عمل (2) على الأقل، وإرفاق أحدث قائمة ورقية تعكس تلك التغييرات.

Shop Information and Menu Information:

    The information Merchant must provide includes opening hours, dish names, prices, allergen information, meal descriptions, main ingredients, calories, portion size, minimum-order amount, promotions, discounts, hours of availability, applicable taxes and any other details specified in the Merchant Portal. If Merchant wishes to change any Shop or Menu Information, it shall notify RobinFood in writing at least two (2) Business Days in advance and provide its latest offline menu reflecting such changes.

    يلتزم التاجر بتوفير عدد كافٍ من الموظفين لمعالجة الطلبات وتنفيذها خلال ساعات العمل، وإتاحة الوجبات للطلب خلال ساعات التوفر المحدَّدة. وإذا تبيّن للتاجر في أي وقت تعذّر توفير وجبة ما، فعليه فورًا استخدام المعدات و/أو بوابة التاجر لإخطار روبن فود وإيقاف بيع تلك الوجبة.

Order Fulfilment Capacity:

    Merchant shall ensure sufficient personnel are available to process and fulfil orders during business hours, and that meals are available for order during their corresponding hours of availability. If Merchant becomes aware that a meal cannot be supplied, it shall promptly use the Equipment and/or Merchant Portal to notify RobinFood and discontinue the sale of that meal.

    يجب على التاجر، خلال خمس (5) دقائق ـ أو أي مهلة زمنية أخرى تحدّدها روبن فود مستقبلًا وفقًا لقواعد المنصة ـ من ظهور الطلب على المعدات، أن يؤكّد عبر المعدات ما إذا كان يقبل الطلب أو يرفضه (مع تحديد سبب الرفض أو ذكره عند الرفض). إذا لم يُفعِّل التاجر خاصيّة قبول الطلب التلقائي وفشل في تأكيد القبول خلال المهلة، يُعَدّ الطلب مرفوضًا، وتلغي المنصة الطلب تلقائيًا، ويتحمّل التاجر مسؤولية عدم تأكيده في الوقت المحدّد. إذا فعّل التاجر خاصيّة قبول الطلب التلقائي، يُعَدّ الطلب مقبولًا فور ظهوره.

Order Acceptance:

    Within five (5) minutes (or any other time limit specified by RobinFood in the future) after an order is displayed on the Equipment, Merchant must confirm via the Equipment whether it accepts or rejects the order (and, in the event of rejection, select or state the reason). If Merchant has not enabled the automatic-order-acceptance function and fails to confirm acceptance within the time limit, it will be deemed to have rejected the order; the Platform will cancel the order automatically, and Merchant will be responsible for not confirming in time. If Merchant has enabled the automatic-order-acceptance function, it will be deemed to have accepted the order as soon as the order is displayed.

إلغاء الطلب بناءً على طلب العميل:

    إذا طلب العميل إلغاء الطلب بعد قبول التاجر له، فعلى التاجر معالجة الطلب (موافقة أو رفضًا) خلال خمس (5) دقائق ـ أو أي مهلة أخرى تحدّدها روبن فود مستقبلًا. وإذا لم يرفض التاجر الطلب خلال المهلة، يُعَدّ موافقًا على الإلغاء، وتلغي المنصة الطلب تلقائيًا، ويتحمّل التاجر مسؤولية عدم رفضه في الوقت المحدّد.

Customer-Requested Cancellation:

    If a customer requests to cancel an order after Merchant has accepted it, Merchant shall process (approve or reject) the request within five (5) minutes (or any other time limit specified by RobinFood in the future). If Merchant fails to reject the request within that time, it will be deemed to have approved the cancellation; the Platform will cancel the order automatically, and Merchant will be responsible for not responding in time.

  3. إعداد الوجبة بمستوى من المهارة والعناية والاجتهاد يوازي أفضل الممارسات في صناعة الأغذية، وبجودة لا تقلّ عن مستوى مطعمه للطلبات الداخلية.
  4. مراعاة معلومات الحساسية الغذائية والمتطلبات الأخرى التي يبلّغها العميل.
  5. التأكد من تطابق الوجبة مع الوصف المعروض على المنصة (بما في ذلك معلومات الحساسية، وصف الوجبة، المكوّنات الرئيسية، والحصة في معلومات القائمة) والالتزام بالقوانين المطبَّقة، وضمان سلامة المواد الخام والوجبة وعدم إضرارها بالصحة أو البيئة. وفي حال عدم وجود وصف محدّد للحصة أو المكوّنات، يجب أن تكون الحصة والجودة مماثلتين لما يُقدَّم لروّاد المطعم.
  6. تغليف الوجبة تغليفًا مناسبًا وختمها (مثل ختم آمن للأغذية) بطريقة تحميها من التلف أو التلوّث أو الانسكاب وتحافظ على درجة حرارتها الملائمة، وفقًا للمعايير المتعارف عليها لطلبات الوجبات الجاهزة، ومعايير القوانين المطبَّقة وتعليمات العملاء.
Meal Preparation Standards
  1. During preparation of an order, Merchant shall:
  2. prepare the meal within the schedule communicated to the customer via the Platform;
  3. prepare the meal with reasonable skill, care and diligence, in line with best practices in the food industry and at a standard no lower than its dine-in service;
  4. take proper account of any food-allergy information or other requirements communicated by the customer;
  5. ensure the meal complies with its description on the Platform (including allergen information, description, main ingredients and portion in the Menu Information) and with all applicable laws, and ensure that raw materials and meals are safe, hygienic and harmless to health and the environment. If no specific description of main ingredients, portion, etc., appears in the Menu Information on the Platform, Merchant shall provide a portion and quality equivalent to its dine-in service;
  6. pack the meal appropriately and seal it (e.g., with a food-safe seal) so as to protect it from damage, contamination or deterioration, reduce spill-over, and maintain suitable temperatures, in accordance with generally accepted takeaway standards, applicable laws and any customer instructions.

طلبات التوصيل عبر روبن فود
  1. عند توفير روبن فود لخدمة التوصيل:
  2. على التاجر السماح لناقل روبن فود بالدخول والانتظار ـ عند الحاجة ـ داخل المتجر لأداء خدمة التوصيل.
  3. تجهيز الوجبة بسرعة، وتسليم الطرد الكامل الخاص بالطلب إلى الناقل فور جاهزيته.
  4. التأكد من تطابق رقم الطلب على عبوة الوجبة مع الرقم المعروض للناقل قبل التسليم.
RobinFood Delivery Orders:
  1. Where RobinFood provides delivery service:
  2. Merchant shall allow RobinFood’s carrier reasonable access to, and waiting time at, the Shop premises to perform delivery services;
  3. Merchant shall prepare the meal promptly and, once ready, hand over the complete package under the order to the carrier;
  4. before handing over the meal, Merchant shall ensure the order number on the package matches the order number shown by the carrier.

الاسترداد والتعويض

    يجوز لـ روبن فود خصم جميع تكاليف ردّ المبالغ والتعويضات المدفوعة للعملاء من إيرادات التاجر. ويلتزم التاجر بتعويض روبن فود عن أي خسائر تتكبدها نتيجة الوجبات التي يقدّمها ويبيعها عبر المنصة، بما في ذلك أي خسائر ناجمة عن الأمور التي يتحمّل التاجر مسؤوليتها بموجب اتفاقية التاجر.

Refunds and Indemnification:

    RobinFood may deduct from the Merchant Revenue all costs of refunds and reimbursements to customers. Merchant shall fully indemnify RobinFood for any loss suffered by RobinFood arising from meals sold by Merchant on the Platform, including but not limited to any loss incurred due to matters for which Merchant is responsible under the Merchant Agreement.
